Shiv Nadar Reshapes HCL’s Future with Major Stake Transfer to Daughter

Shiv Nadar transferred 47 per cent of his stake in HCL Corp and VSIPL to his daughter, Roshni Nadar Malhotra, as part of a succession plan. Roshni now holds 57.33 per cent, ensuring leadership continuity and future stability for HCL.

Billionaire industrialist Shiv Nadar has transferred 47 per cent of his shareholding in HCL Corporation and Vama Sundari Investments (Delhi) Pvt Ltd (VSIPL) to his daughter, Roshni Nadar Malhotra. The transfer was completed through gift deeds dated March 6, 2025. These documents were later filed with the National Stock Exchange (NSE) on March 7, 2025.

Changes in Shareholding

Before the transfer, Shiv Nadar held 51 per cent of both HCL Corporation and VSIPL, while Roshni Nadar Malhotra owned 10.33 per cent. After the transfer, Roshni’s shareholding has increased to 57.33 per cent, making her the majority stakeholder. Shiv Nadar’s stake has now reduced to 4 per cent.

Part of a Planned Succession Strategy

This move is part of a broader strategy to ensure a smooth leadership transition within the HCL Group. By transferring a majority stake to Roshni, Shiv Nadar is securing the company’s long-term stability.

The Securities and Exchange Board of India (SEBI) has granted Roshni an exemption from making an open offer. This exemption allows for the seamless transfer of shares without triggering regulatory complications.

Roshni Nadar Malhotra is a business leader with a background in media and an MBA in social enterprise. She has played a key role in HCL’s expansion and growth. Under her leadership, the company has focused on gender diversity and global expansion, especially in Australia and New Zealand.
